TL;DR

  • Google signed credit support agreements on November 4 for TeraWulf's existing Anthropic leases.
  • Default remedies include assuming a lease or, subject to conditions, paying a termination fee with project equity rights.
  • The new filing expects phased delivery from late 2027 through the second quarter of 2028.

EASTON, Maryland, November 6, 2026

Google signed credit support agreements for TeraWulf’s existing $19 billion Anthropic lease on November 4, adding a financing backstop as the bitcoin miner develops its Kentucky AI campus amid falling crypto prices.

The agreements support anticipated borrowing for the Justified Data Campus in Hawesville. They change who can step in if the tenant fails to pay, a central issue for lenders funding infrastructure before rent begins.

Bitcoin closed November 5 UTC at $75,969.06, down 5.544%, with an intraday low of $75,035.10, according to ChartExchange’s historical prices. That is the market backdrop, rather than evidence that the financing announcement drove crypto trading.

Google credit support adds default remedies

In its announcement, TeraWulf attributed the arrangement to efforts to secure competitive project financing. Chief Financial Officer Patrick Fleury said: “Cost of capital is fundamental to infrastructure development.”

The distinction is between finding a customer and financing construction. A long lease creates a potential stream of payments; lenders still need to assess whether that stream will survive a customer default. Credit support addresses that second question without making construction automatic.

This follows the Anthropic lease announced in July. The original company release described a 20-year contract for approximately 401 megawatts of critical IT load and about $19 billion in expected lease revenue. It had anticipated investment-grade support without naming Google.

The new Form 8-K identifies three support agreements. After specified payment-default or insolvency triggers and notice, Google can assume the relevant lease or, under conditions, pay a termination fee carrying rights to equity in Raylan, the project subsidiary.

Google can also defer its choice while covering unpaid and newly due rent. The backstop becomes effective at commencement of the final data hall under each corresponding lease. It can end when specified conditions are met, including sustained investment-grade ratings for Anthropic or a qualifying guarantor.

TeraWulf project equity comes with conditions

The filed form of agreement makes the ownership mechanism more specific. Google’s potential equity fraction is the termination fee divided by the relevant total development and construction cost. The public form does not establish a fixed percentage stake.

The termination-fee option is restricted during the first six years after the backstop takes effect, unless installed TPU equipment can consume less than 50% of the tenant’s critical power. The agreement also requires Anthropic to use Google-approved tensor processing units as accelerator processors at the premises.

Those provisions connect Google’s financial support to the equipment and operating arrangements inside the buildings. They also limit the usefulness of describing the transaction simply as a takeover option: the rights depend on triggers, timing and contractual choices.

No acquisition of TeraWulf is announced. Nor does the $19 billion headline represent cash paid by Google today. It refers to the existing lease’s expected revenue across its initial term, which must be distinguished from borrowing proceeds and the eventual cost of building the campus.

For investors assessing the agreement, the practical questions are the size and cost of debt it enables, the protection available before all halls are delivered and the obligations remaining with the developer. A recognizable backer improves the financing narrative; the signed loan documents and completed facilities will establish the operating outcome.

Anthropic delivery extends through Q2 2028

The November filing expects delivery in phases from late 2027 through the second quarter of 2028, with rent starting as each hall is delivered. July’s announcement had targeted initial service in the second half of 2027 and full capacity by early 2028. The filing gives no explanation for the changed endpoint.

TeraWulf also signed a definitive engineering, procurement and construction agreement with Fluor for three buildings. Its announcement says guaranteed maximum pricing is being established as design and procurement advance, alongside delivery milestones, cost reporting and performance protections.

That leaves execution as a separate test from tenant credit. Financing can support procurement and construction, but it cannot itself demonstrate that equipment has arrived, buildings have been commissioned or rent has begun.

The sector already has examples of revenue shifting away from mining. Core Scientific’s latest results show that transition in operating figures: its official third-quarter release reported $215.4 million of colocation revenue out of $232.9 million total. TeraWulf’s agreement concerns capacity still to be delivered.

Broader crypto sentiment remained weak. Alternative.me’s Bitcoin-focused index showed 28, or Fear, versus 50 a day earlier when checked November 6 around 06:00 UTC. It does not measure lender appetite for AI infrastructure.

The next checkpoints are final debt terms, construction progress and hall deliveries. The announcement does not disclose a completed financing’s amount, interest rate or closing date; those details will determine how the new support translates into funding.
