MIAMI, October 25, 2026
House of Doge signed a conditional deal to buy McQueen Labs’ token platform for $15 million, alongside a separately priced lending business, as its CEO and CFO resigned during a shift toward tokenized investments.
The Nasdaq-listed company signed the binding letter of intent October 23. It proposes acquiring technology and credit operations for planned blockchain investment products, but a definitive purchase agreement, due diligence and other closing requirements remain outstanding.
DOGE closed October 24 at $0.0776, down 1.191%, with a daily range of $0.0747 to $0.0792, according to ChartExchange’s historical table. That is market context, not evidence that this corporate transaction caused the token’s move or gives DOGE holders rights to the acquired assets.
In its October 23 announcement, House of Doge said it plans tokenized yield vaults using real-world credit assets. It did not give a launch date. These are proposed investment products, not an announced live source of returns.
The agreement follows the separate formation of Dogecoin Labs. That earlier development grouped consumer products and engineering teams; the new McQueen transaction concerns the public company’s prospective investment platform, financing and management.

McQueen’s $15 million price excludes lending costs
The filed acquisition letter separates the token platform from the lending business. The latter has formula-based consideration linked to lending income and amounts advanced to the lending subsidiary, rather than a fixed price included within $15 million.
Platform payment would combine common shares equal to 19.99% of the specified existing share base, preferred shares representing another 30% of that base, and a note for the balance. Those percentages describe issuance against an earlier denominator, not McQueen’s final ownership percentage after all shares are issued.
The letter also provides for further consideration if a new lending product meets investment and spread conditions after closing. The headline platform price therefore does not establish the total eventual acquisition cost.
Five million dollars of platform consideration depends on milestones by April 30, 2027, subject to stated extension conditions. They cover functionality, production deployment, operating arrangements and compliance. Their inclusion identifies delivery work still to be demonstrated, rather than certifying that every product is ready.
Until shareholder approval, the transaction’s common-share issuance, including deposit shares, is capped at 19.99%. That separates the initial issuance from later conversion authority and makes subsequent voting documents significant for existing holders.
The proposed asset perimeter includes software, smart contracts, selected commercial relationships and control rights. Purchasing that infrastructure would not by itself prove the value of the loans or create a liquid market for interests sold through it. Credit quality, enforceable collateral rights and the ability to redeem remain separate product questions.
HODO leadership changes before acquisition closes
House of Doge’s Form 8-K says Marco Margiotta and Charles Park resigned as CEO and CFO October 22. McQueen CEO Curtis, or Curt, Hopkins became interim CEO and interim CFO effective that day.
Hopkins has an indirect interest in the McQueen transaction. The filing also identifies financial interests held by certain directors in the seller and affiliates. These disclosures make the proposed transaction a governance question alongside its technology and product ambitions.
Seller notes would carry 3% annual interest and mature two years after closing, secured by the purchased assets. Debt consideration defers payment; it does not eliminate the obligation or establish that vault revenue will cover it.
The company is evaluating financing and a rebrand, and expects an annual-meeting proxy to include a reverse stock split proposal. Neither a proposed split nor a new corporate name establishes fresh cash, regulatory permission for a product or completed customer adoption.
The filing explicitly leaves closing uncertain. The next documented test is execution of a definitive agreement by December 15, the letter’s automatic termination deadline unless extended, rather than treating the acquisition announcement as a completed purchase.
Dogecoin license narrows as Such App transfer awaits
The replacement trademark license is non-exclusive. It covers the specified existing 21Shares products and additional investment products only when approved in writing. It grants no official-partner status or general permission to use DOGE branding across unrelated businesses.
Its initial term ends October 19, 2029, without automatic renewal. Future products require signed addenda, with revenue-sharing terms negotiated individually. Acquiring technology therefore does not automatically extend the trademark permission to every proposed vault.
The license also separates ownership of the marks from permission to use them. House of Doge acquires no ownership interest in the branding. A product name, its contractual rights and its regulatory position therefore need to be assessed individually, even when several offerings share the same recognizable ecosystem.
Separately, the license termination agreement requires the public company and its U.S. subsidiary to change their names before December 31, 2026. It provides for a $400,000 payment to the Foundation when sufficient funds are available, payable in cash, shares or both.
Accrued claims under the old license remain until payment in full. The filing does not establish a funded payment date. This obligation is separate from the acquisition price and any money the company raises for expansion.
The Such App transfer agreement exchanges designated assets for Dogecoin Labs shares valued at $4 million using a $120 million pre-money valuation. It requires lender consents and asset-control transfers; the 8-K says it has not closed.
The equity value is not cash sale proceeds available to fund McQueen. For three years after closing, the agreement also provides favorable pricing on DogeOS tokenization services. That prospective service arrangement is separate from DogeOS’s public testnet and does not establish a new production launch.
The transfer does not make Dogecoin Labs responsible for House of Doge’s retained contracts and liabilities. That allocation helps explain why moving an application, receiving equity and financing a new acquisition are separate steps, rather than one cash-generating transaction. The agreements should be evaluated together without adding their different valuations into a single measure of available funding.
Fear & Greed Index
October 25, 2026Source: Alternative.me, checked October 25: 54, Neutral, versus 51 the previous day. This broad sentiment measure does not value HODO or the proposed assets.
The unresolved items are concrete: closing consents, a definitive McQueen agreement, financing terms, shareholder documents and an actual vault launch. Until those arrive, the disclosed contracts describe a conditional restructuring with several separate obligations, rather than a completed expansion generating verified investment income.

Frequently Asked Questions
Is House of Doge's McQueen acquisition complete?
No. The October 23, 2026 binding letter of intent remains subject to satisfactory diligence, a definitive agreement and closing conditions. It automatically terminates if no definitive agreement is signed by December 15, unless extended.
Does $15 million cover the entire McQueen transaction?
No. It is the stated token-platform price. The lending business has separate formula-based consideration, and additional payments may depend on post-closing performance.

McQueen Labs CEO Curtis, or Curt, Hopkins became interim CEO and interim CFO effective October 22, 2026, following the resignations of Marco Margiotta and Charles Park.
